AGREEMENT TO TERMS

By signing up as an affiliate using the online affiliate registration, you (“Affiliate“) agree to be bound by this Affiliate Agreement (“Agreement“) with My Wealth Cloud Ltd (company number 07562559), registered under the laws of England and Wales, whose registered office is at 55 Station Road, Beaconsfield, Buckinghamshire, United Kingdom, HP9 1QL (“MWC“).

The effective date of this Agreement is the date you complete the online affiliate registration.

RECITALS

This Affiliate Agreement governs the relationship between the Affiliate, who wishes to promote MWC’s service, Legacy Hub, and MWC, which agrees to pay affiliate commission to the Affiliate upon a referred customer purchasing a subscription license for Legacy Hub.

This Agreement does not create any employment, partnership, or agency relationship between MWC and the Affiliate.

This Agreement is non-exclusive and does not restrict MWC from conducting its own marketing and sales activities or engaging with other affiliates.

  1. AFFILIATE RESPONSIBILITIES

1.1 The Affiliate will promote Legacy Hub to potential customers through agreed marketing channels and methods.

1.2 The Affiliate will use reasonable efforts to promote Legacy Hub in a professional manner consistent with MWC’s brand values.

1.3 The Affiliate may utilise their own website, social media channels, email marketing, and other promotional methods, subject to the Rules of Conduct outlined in Section 2.

  1. RULES OF CONDUCT

2.1 Authority and Representation

  • The Affiliate must act in their own name and is not authorised to act in MWC’s name
  • The Affiliate may not enter into any contractual arrangement on MWC’s behalf
  • The Affiliate may not represent themselves as an employee, agent, or partner of MWC
  • The Affiliate may not enter into obligations on behalf of MWC or issue guarantees binding MWC

2.2 Marketing Standards

  • The Affiliate will not make representations about Legacy Hub or MWC’s services that overstate or contradict MWC’s official published materials
  • All promotional materials must be truthful, accurate, and comply with applicable advertising laws and regulations, including the Consumer Protection from Unfair Trading Regulations 2008 and the Business Protection from Misleading Marketing Regulations 2008
  • The Affiliate must clearly disclose their relationship with MWC and any commission arrangements in accordance with Advertising Standards Authority (ASA) guidelines
  • The Affiliate must not engage in spam, deceptive marketing practices, or any illegal promotional activities
  • The Affiliate must comply with the Privacy and Electronic Communications Regulations (PECR) when sending marketing communications

2.3 Data Protection Compliance

  • The Affiliate must comply with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the Data (Use and Access) Act 2025
  • The Affiliate must obtain proper consent before collecting or processing any personal data for marketing purposes
  • The Affiliate must not share any personal data obtained through their promotional activities with third parties without proper legal basis
  • Cookie consent must be obtained before placing any non-essential cookies on users’ devices
  • The Affiliate must maintain appropriate technical and organisational measures to protect any personal data they process

2.4 Liability

  • The Affiliate is liable for any loss or damage suffered by MWC resulting from failure to perform obligations or exceeding the scope of authority
  • The Affiliate is liable to MWC for loss or damage arising from deliberate or negligent breach of applicable laws or regulations
  • The Affiliate bears sole responsibility for any loss or damage suffered in the course of performing services arising from their own breach of applicable rules

2.5 Status Updates

  • The Affiliate undertakes to advise MWC of any material change in the Affiliate’s business status or professional activity
  1. CUSTOMER RELATIONSHIP

3.1 MWC Discretion

  • MWC reserves the right to decline to establish or continue a relationship with any prospect referred by the Affiliate
  • If MWC declines a referred prospect, MWC owes no commission to the Affiliate in respect of that prospect

3.2 Direct Customer Relationship

  • Referred prospects will sign MWC documentation directly with MWC
  • The customer relationship will be directly between the customer and MWC
  • MWC shall have free and direct access to all referred customers

3.3 Attribution

  • Referrals must be tracked through MWC’s approved tracking system or unique referral codes/links provided to the Affiliate upon registration
  • Customers are attributed to the Affiliate based on the first tracked referral, unless otherwise agreed in writing
  1. AFFILIATE INFORMATION AND UPDATES

4.1 Accurate Information

  • The Affiliate warrants that all information provided during registration is accurate and complete
  • The Affiliate agrees to maintain current contact details, payment information, and VAT status in their affiliate account dashboard

4.2 Updates Required

  • The Affiliate must promptly update their account information if any details change, including:
    • Contact information (email, phone, address)
    • Payment details (bank account information)
    • VAT registration status and VAT number
    • Business name or trading status
  1. COMMISSION STRUCTURE

5.1 Existing Customers

  • If a referred prospect already has an existing relationship with MWC, commission under clause 5.2 will not apply unless the sale can be specifically identified as a direct result of the Affiliate’s promotional efforts

5.2 Commission Rate

  • MWC agrees to pay the Affiliate a commission of 10% (exVAT) of the Legacy Hub subscription license fee earned by MWC from customers referred by the Affiliate
  • Commission applies to active subscriptions only
  • Commission is based on actual payments received by MWC, not on invoiced amounts

5.3 Payment Terms

  • Commission payments will be remitted to the Affiliate following the end of each quarter (March 31, June 30, September 30, December 31)
  • Payments will be made within 30 days following the end of each quarter
  • A detailed statement of commissions earned will be provided with each payment

5.4 Taxes

  • All taxes, duties, and fiscal charges on commission payments, including Value Added Tax (VAT), are the responsibility of the Affiliate
  • If the Affiliate is VAT registered, they must provide MWC with their VAT number via their affiliate account
  • If the Affiliate becomes VAT registered after registration, they must update their affiliate account immediately

5.5 Expenses

  • MWC shall not reimburse the Affiliate for any expenses unless explicitly agreed in writing in advance

5.6 Payment Method

  • Commission payments shall be credited to the bank account details provided by the Affiliate
  1. CONFIDENTIALITY

6.1 Confidential Information

  • All business secrets, proprietary information, and customer data disclosed by MWC or obtained by the Affiliate in connection with this Agreement must be treated as strictly confidential
  • This confidentiality obligation survives the termination or expiration of this Agreement
  • The Affiliate must not disclose any confidential or potentially confidential information to third parties

6.2 Assistants and Employees

  • If the Affiliate utilises assistants or employees in performing services under this Agreement, the confidentiality requirements apply equally to such persons
  • The Affiliate must ensure all assistants and employees observe confidentiality obligations during and after their employment

6.3 Prohibited Use

  • The Affiliate may not use business secrets or customer data for their own benefit beyond the scope of this Agreement

6.4 Data Protection and Privacy

  • Any personal data shared by MWC with the Affiliate must be processed in accordance with UK GDPR and Data Protection Act 2018
  • The Affiliate acts as an independent data controller for any personal data they collect through their own promotional activities
  • If MWC shares customer data with the Affiliate, the parties acknowledge their respective data protection obligations
  • The Affiliate must implement appropriate technical and organisational measures to ensure the security of personal data
  • The Affiliate must notify MWC immediately of any data breach involving MWC’s data or data collected on behalf of MWC
  1. INTELLECTUAL PROPERTY

7.1 License to Use

  • MWC grants the Affiliate a limited, non-exclusive, non-transferable license to use MWC’s trademarks, logos, and marketing materials solely for the purpose of promoting Legacy Hub during the term of this Agreement

7.2 Usage Guidelines

  • The Affiliate must comply with MWC’s brand guidelines and obtain prior written approval for any modified or custom marketing materials

7.3 Termination of Rights

  • Upon termination of this Agreement, the Affiliate must immediately cease all use of MWC’s intellectual property
  1. TERM AND TERMINATION

8.1 Term

  • This Agreement commences on the date the Affiliate completes the online affiliate registration and accepts these terms, and continues until terminated by either party

8.2 Termination by Affiliate

  • The Affiliate may terminate this Agreement at any time by providing 30 days’ written notice to MWC via email to info@mywealthcloud.com or through the affiliate account dashboard

8.3 Termination by MWC

  • MWC may terminate this Agreement with 30 days’ written notice to the Affiliate
  • MWC may terminate this Agreement immediately if the Affiliate breaches any material term of this Agreement
  • MWC may terminate this Agreement immediately if the Affiliate engages in conduct that damages MWC’s reputation or brand

8.4 Effect of Termination

  • Upon termination, the Affiliate must cease all promotional activities for Legacy Hub
  • Commission earned on active subscriptions prior to termination will continue to be paid according to Section 5, unless termination is due to Affiliate breach
  • Confidentiality obligations survive termination indefinitely
  1. INDEMNIFICATION

9.1 The Affiliate agrees to indemnify and hold harmless MWC from any claims, damages, losses, or expenses arising from:

  • The Affiliate’s breach of this Agreement
  • The Affiliate’s promotional activities
  • Any misrepresentation made by the Affiliate regarding Legacy Hub or MWC
  • The Affiliate’s breach of UK GDPR, Data Protection Act 2018, PECR, or other applicable data protection or marketing laws
  • The Affiliate’s breach of advertising standards or consumer protection regulations
  1. LIMITATION OF LIABILITY

10.1 MWC’s total liability under this Agreement shall not exceed the total commission paid to the Affiliate in the 12 months preceding any claim.

10.2 Nothing in this Agreement shall limit or exclude either party’s liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Breach of obligations under the UK GDPR or Data Protection Act 2018
  • Any other liability that cannot be limited or excluded by law
  1. GENERAL PROVISIONS

11.1 Entire Agreement

  • This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements
  • Any amendments or additions must be made in writing and signed by both parties

11.2 Amendments

  • MWC reserves the right to modify this Agreement at any time
  • The Affiliate will be notified of material changes via email and/or through the affiliate account dashboard
  • Continued participation in the affiliate program after notification of changes constitutes acceptance of the modified terms

11.3 Assignment

  • The Affiliate may not assign this Agreement without MWC’s prior written consent
  • MWC may assign this Agreement to any successor or affiliate

11.4 Severability

  • If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect

11.5 Waiver

  • Failure to enforce any provision of this Agreement does not constitute a waiver of that provision

11.6 Independent Contractor

  • The Affiliate is an independent contractor and nothing in this Agreement creates an employment, partnership, or agency relationship

11.7 Electronic Acceptance

  • The Affiliate acknowledges that by completing the online affiliate registration, this constitutes a legally binding electronic signature under the Electronic Communications Act 2000
  • The Affiliate agrees that electronic acceptance has the same legal effect as a handwritten signature

11.8 Contracts (Rights of Third Parties) Act 1999

  • No person who is not a party to this Agreement shall have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement

11.9 Notices

  • Any notices under this Agreement must be in writing and delivered by email
  • Notices to MWC should be sent to info@mywealthcloud.com
  • Notices to the Affiliate will be sent to the email address provided on registration
  1. GOVERNING LAW AND JURISDICTION

12.1 Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of England and Wales

12.2 Jurisdiction

  • London is the place of execution and the venue for any legal proceedings
  • London shall be the sole place of jurisdiction for all proceedings
  • MWC may also institute legal proceedings against the Affiliate at the Affiliate’s place of residence or domicile, or before any other competent court

ACCEPTANCE

BY COMPLETING THE ONLINE AFFILIATE REGISTATION, YOU ACKNOWLEDGE THAT:

  1. You have read and understood this entire Affiliate Agreement
  2. You agree to be bound by all terms and conditions set forth in this Agreement
  3. You confirm that all information provided during the online affiliate registration is accurate and complete
  4. You understand this constitutes a legally binding agreement between you and My Wealth Cloud Ltd
  5. You have the authority to enter into this Agreement
  6. Your electronic acceptance is legally binding under the Electronic Communications Act 2000

Your acceptance will be automatically recorded when you complete the online affiliate registration.
